Starting a Business
The “correct” business entity formation depends upon personal liability, tax advantages, number of owners, private equity requirements and many other factors. JG Law counsels startup businesses on the pros and cons of a limited liability company (LLC), standard C corporation, S corporation, limited partnership or other entity. We are experienced in nonprofit law and can advise on legal compliance and tax exemption issues as well. We also counsel established companies on reorganizing under these entities or forming joint ventures. We work closely with clients to organize limited liability companies, joint ventures, partnerships and corporations; negotiate and prepare ownership agreements; and create financing arrangements and stock and option agreements. We draft partnership agreements, LLC operating agreements and corporate shareholder agreements, often including buy/sell provisions to plan for various contingencies involving the unexpected departure of an owner.
We structure all entities and agreements to protect our clients in case of dissolution and to provide clear succession in case of death or disability of one of the partners, members or shareholders.
Once a business is formally structured as a legal entity, we can help develop effective employee manuals and policies, and negotiate property lease and purchase agreements. JG Law can maintain an ongoing relationship as general business counsel, assisting in ongoing business operations by negotiating contracts with clients and major service partners, handling business transactions of all types, and resolving disputes through negotiation, ADR or litigation.
